   You're assuming that it would be valued 40M at exit, right? How would it be different from them giving me 0.5% instead of 1% but at "face value"?

   From your and other comments I feel I poorly worded the OP: as CTO I would lead a small team and rewrite the site which is the main source of income for this company.

   I don't know where you got that it's failing and needs saving. This is a perfectly fine company which has been around for 10+years and already received a couple of acquisition offers, AFAIK.
