Ah ok, so the company makes an exception to the lockup period for IPO participation? How do they typically decide who gets to participate?

This techcrunch article has what you're after: https://techcrunch.com/2017/02/02/slowchat/ . They say growth slowed from 7% QOQ to 3.2% QOQ. Having only 3.2% Q4 QOQ growth is pretty worrying conside

Good point. There is still a lot of uncertainty with Snap, but it is certainly in a better position than Pets.com. For me the worrying issue is the flat user growth at the end of 2016 and the new competition from Instagram.

What makes the comparison to Pets.com for you appropriate here? Pets.com was insanity. It IPOed 15 months after it was founded and had no fundamentals of any kind. Snap is 6 years old and has hundreds of millions of retained users. From the

These numbers make sense to me. What I wonder though is if Snap goes the way of Twitter and winds up halving in valuation by the lockup period expiration. Is it still $1 million per basis point? Or will ratchets kick in that further dilu

The idea is that employees accepted a lower salary in exchange for the chance to earn more through stock from an eventual liquidity event. They're arguing that the gain from the liquidity event is just enough to make up the difference

Yea, it's to keep the price somewhat stable after the IPO. It's a very standard thing to do and the share price of a company usually drops permanently when the lock up period expires. Maybe a good rule of thumb is 10-20% of the c

Quick research suggests this timeline to me: Summer 2014 Apigee raises last private funding at a $600M valuation April 2015 Apigee IPOs at a valuation of $500M By end of 2015 Apigee closes at a valuation of ~$250M. So the company lost almos

At the start of 2016 there was some consensus that things were cooling off. Markets were down, there were fewer seed stage investments and an all but dead tech IPO market for the first half of the year. Investors started to advise compani

What makes you so sure? Say the company is valued at $300M when you join. $100,000 worth of ISOs is 0.03% which is not unreasonable if you're an engineer from say employee 5 to employee 50 or so. Now, the company becomes a unicorn va

This is excellent advice. For what it's worth you really need to know the total number of outstanding shares to appropriately assess the 409A valuation. The stock could split later.

Most unicorns disallow this nowadays to prevent the headache Facebook had when IPOing (very explicit you cannot transfer shares without the companies consent clauses in contracts). Some do controlled tender offers which allow employees to
