If shareholders could be held responsible, perhaps they would be more willing to sacrifice some profits to ensure the companies they invest in are following the law? It might kill high-frequency trading and other forms of parasitic "investment", but I don't see any reason why it would kill the kind of long-term investment pension funds usually do.
