1. The GL is a little high... If you're a sole proprietor and you own a home you can get the GL rider for like $200-300 a year. 2. PL isn't expensive typically they rate it by your last 12 months of revenue. We do $10M+ last year

The form of incorporation is more important than the state. Delaware is NOT necessary unless your exit is IPO, or when you have a large or diverse shareholder base. YC mostly funds and promotes "BIG" ideas which get MILLIONS of

I doubt it was a "blue sky" issue. Since it seems like it was an "Accredited Investor" and they would have signed an waiver to that effect. Probably had more to do with the firm acting as a broker in the deal, and viola

I've seen that more from guys that "start from scratch" than guys who cut and paste... most guys who cut and paste also annotate and comment... most geniuses can't be bothered to both code and comment...
