In the early 2000, we had Asian financial crisis, Y2K, dotcom bomb, telecom burst, stock market crash, 9/11 attack, war in Afghanistan, SARS, launch of the Iraq invasion, outbreak of avian flu, but yet in retrospect, it was the best time to

The problem is not one of skills and affinity but one of command structure. A startup with multiple equal co-Founders is a partnership. No one in a partnership bears fiduciary responsibility. Each partner is responsible for their own inte

In the beginning of a startup, especially one that has multiple co-Founders of equal stature, the command structure is exactly that of a hunting party. That is, members of the party do not have rigid roles although they each have distinct

BitGeek: Your post is simply amazing. I couldn't agree more. Having multiple co-Founders does not guarantee success but also does not guarantee failure. But if a startup with multiple co-Founders were to somehow become successful, it is s

I agree. I found her article pretty spot on. Keep in mind that she starts the article by focusing on those whose financial plan is to get VC money from the get-go. I wrote about my own experience with VC's and I basically said the same.

OK, got it. I am going to assume that you want some kind of legal protection in terms of liability. In other words, you don't want to do this as a general partnership, but as a corporation or sort so that as you move forward, there is no w

You don't need a lawyer. You need common sense. Why do you think you need to give someone 50% of YOUR company? Is your product ready? How much more work will it take before you are ready for revenues? And when you are ready, how long wi

I actually see a parallel between what's happening in web startups today and the telecom broom-and-bust that many of us older guys have experienced in 1999/2000. Back then we had Nortel acquiring Qtera, Xros and Coretek at about $3B each,

I believe the comment by byteCoder (regarding taxable gain) has to do with options and not stock. I believe in his case, the employees actually own options which they decided to exercise, causing taxable gain which normally is not taxable

You can always do a tax free transfer between two entities as long as you own the property. Keep in mind that it is important that the transfer take place between the outside investment and not after. The franchise fee for LLC, LLP and S-

A "bootstrapper" is not a permanent state of mind. Basically all entrepreneurs of the past were bootstrapping entrepreneurs in the sense that they view outside investment (whether from VC's or angels as "working" capital and not R&D mo
