Again, not an expert here, but isn't the option to pay off my debt one of the major reasons I prefer convertible notes over straight equity? And isn't it why I incentivize the angel with the option buy shares cheaper than the VC?

Fair enough. But isn't it possible for a company to be profiting enough that they could pay off the debt before an acquisition? Especially in the case of a company being able to sell so quickly at a value 10x higher than the super angels

Interesting, I would actually take the opposite approach. When it comes to startups, I don't think rockstar programming is really enough to set a company apart. While the company is small some bad code shouldn't send it to the grave. Cod
