Thanks and I appreciate the response. And I mentioned Eduardo earlier in the thread only to highlight a point: for most orgs, these forms will be fine. There won't ever be enough money on the table to make an expensive lawsuit worthwhile.

CORRECT. So maybe not all tangles with the law are equivalent in their need for specialized outside expertise, eh? Maybe it makes sense to think about it and maybe discuss with an actual attorney before you leap, eh? Maybe more than a few

Please forgive me: I know you are probably a great attorney and this is a relatively simple part of the law. When I say "proven", I'm thinking "has been tested in court" or "has withstood challenges by shareholder lawsuits". That may very

Dude, you're missing my point. Everything you said is 100% correct. It all makes complete sense. But I'll repeat my initial point just so we're clear about what my problem here is: A website is not going to ask you questions about the spe

I'm willing to bet that attorneys on the west coast (I mean CA) are more liberal about this sort of thing. And I'm positive that your documents are great. No problems there. BUT, as I stated above, once you get into making adjustments, it'

You are missing my point: if you think you need a lawyer to review a document you obtained elsewhere, you're gonna have a bad time. I have no problem with using a standard structure and replicating that across many many companies. That's s

I LOL'ed. The number of lawyers who will review a corporate formation package you bought online is laughably small. Asymptotically zero in fact. A better idea would be to provide the option to connect with the lawyers who drafted these spec

I haven't read the report yet, but it's on my list. That said, our (USA) national interests are at stake here. So far, we've left it up to the individual commercial parties to police and defend their own networks and that isn't working as

Maybe you're missing the point that this is a great brand evangelism story. They are putting their money where their mouth is: they bought the car, they are doing the drive, and they are inviting everyone to see them do it live.

A C-corp and an S-corp are equivalent in all but a few ways: An S-corp is restricted in the total number of shareholders, and the classes of stock. It also can't have retained earnings. That's it. S-corps aren't really popular any longer.

NOPE. C-corp taxes are subject to all sorts of rules. You can't do C-corp taxes on your own except in the most simple of circumstances. You definitely need a CPA (and a good one) if you're going this route.
