Technically he was lying to his investors, not the SEC. Of course then in that 60 Minutes interview he all but declared he wouldn't honor his side of the settlement, but we'll see if he follows through on that.

TL;DR: try not to suck. Seriously, if you're committing mistakes 1, 3, and 4, then your multi-page website is going to be awful, too. "SPA or not SPA" is far down the list of questions you need to be asking yourself.

You may be confusing the original rejected settlement (no CEO ban) with the complaint that the SEC filed on Thursday (yes CEO ban). The latter is more painful than the settlement offer. It has to be, or there's no incentive to settle.
