Just do the math: Market salary (40k) less salary offered (16.8k) = 23.2k per year Stock vesting in year 1: 0.5% For the stock to make up for the salary discount, the company has to be worth at least 23.2k/0.5% = 4.64 million If _you_ value the company at more than that, and are happy with the level of risk, then you might consider it. Do the math. Think about your alternatives. Get everything in writing. Make sure you understand the contract and the tax implications before signing.
