What is your estimate on the value of the startup? If it isn't much, write it off as a learning experience and move on. The amount you pay a lawyer might be more than the value of your shares in the startup. If they are dishonest, being a minority shareholder in their startup isn't worth much anyway. There's too many ways for them to cheat/dilute you later.
