Dealing with small companies, I usually start by suggesting a simple NDA to protect them and make them feel safe. If they don't want more, I skip the administrivia and we move on to solving their problems. It's been my experience that you're a lot better off being informal about the legalese and just invoicing as often as you can (bi-weekly at longest). Companies without a legal department generally appreciate being able to do business in a straightforward manner.
