I've never heard of nextwave, but their credibility is shot. The premise of this is that convertible notes use is on the rise, according to Carta data, but they don't provide a link. Carta's state of pre-seed says "Safes have taken over: Investment through Safe's accounted for 80% of invested pre-seed capital" [1] I'd like to hear NextWave account for this discrepency. If they can't, why would I trust their legal document. Aside from all the other reasons mentioned as to how this would cause issues.
