Does anyone with a legal background know if there is a distinction between regular fair use and use of content with a specific clause telling you not to use it?

Does anyone with a legal background know if there is a distinction between regular fair use and use of content with a specific clause telling you not to use it? As in, assuming training AI on copyrighted content is fair use, would adding a clause like this change anything? One would hope not as it would represent a pretty big loophole that would render fair use irrelevant. One thing I've wondered about separately is making people sign an NDA before showing them content.
