So they are saying it is related to a success fee of about 72m, plus fees for services rendered, totaling 18m. Musk accuses them of unjust enrichment, but it sounds like a pretty clear cut case of the old management doing what was right for the shareholders.
Musk tried to back out of the deal and even paying your law firm a bonus for winning the case, it was a wise move by the shareholders, board and employees. By spending the money, they ensured Musk complied with his contractual obligations when it was very clear he wouldn't have closed the deal otherwise. By taking him to court vs renegotiating, they likely kept billions of dollars of value for twitters shareholders.
