There's the rub. Retail AMC investors were not rational because they believed in a conspiracy theory that there were shorts who could not deliver. They believed that if they held out long enough, they would all get filthy rich. If they voted, they would have voted against more shares, which is why they're suing. They were on the buy side that would enrich the existing shareholders at the buyers' expense.
