What most (management) people don't get: The IP are the people, not the code. Nobody wants to read and understand a large code base and there are mostly no secret, revolutionary algorithms in it. However, the developers that wrote that stuff can easily rebuild everything and most probably a better, improved version of it. Companies: Protect your developers, not your code!
