One of my favorite bosses was general counsel for a state government agency. She once told me that "no contract can ensure performance of someone of poor character." Whenever I'm offered a contract, I boil it down like this: "Do I believe they'll hold up their end of the bargain?" If the answer is no, I do not sign the contract.
