Sounds like a bad deal to me (and the directorship would be a non-starter) - but I don't know what you're building. You need to figure out fast whether this investor's valuation is disappointing but accurate, or just artificially low. The only way to do that is to take it to the market. A great way to get in front of a whole lot of angels at once. AngelList also has a decent number of Canadian participants - listed at angel.co/canada.
