Ask HN: Do I wait for my Delaware C-corp to be voided or file for dissolution?
Long story short I incorporated a Delaware C-corp for my start-up through Clerky in 2017 and 3 months later the start-up died due to co-founder conflicts.
We had completed the post-incorporation set-up (i.e. share issuance, etc) but we had not conducted any business (i.e. no bank account and 0 revenue). Also, no Tax reports have been filed since incorporation.
I'm not a US citizen and have never been to US before.
Question: Do I wait for my Delaware C-corp to be voided by the state (due to the lack of filing Franchise Tax report for two years) or should I file for dissolution before it is too late?
p.s. I was taken aback today when I saw that the "Overdue Tax, Penalty and Interest" for my C-corp is $58,044 on the Delaware Corporations Information System website (icis.corp.delaware.gov/eCorp).
Later I learnt that the system is only displaying the maximum possible overdue amount and I'm likely not legally responsible for the fee (since any actual fee would be imposed on the business entity itself). Either way I'm still a little worried.
I have plans to apply for a visitor visa (B-2) and visit the States this year. I'm wondering if not paying for the overdue amount and having my C-corp to be voided by Delaware, etc, would affect the visa application (or leave a bad record in the system).
My nationality is Chinese and I have a Singapore residency.
Will appreciate any advices on this! Thanks!
