I was thinking that I'd take a 50k reduction in salary for 25% equity in the new company.
I don't really know the answer to your question, but my gut reaction is that you shouldn't start off by offering the cut in salary - ask for equity in exchange for "running it like your own business". I mean what's the worse that can happen.

I thought of that too, but I want to give him some incentive to let me cut free of (and hire out) my other day to day responsibilities that keep me from turning the internal app into something self sustaining. Maybe I'll just start off by asking if he'd consider equity at all. He said absolutely not for the other business, but hasn't indicated on the software side.
