For investment terms, I've come to believe every term matters quite a bit. There is a good chance you'll eventually have a down round, or IPO under your last rounds price; when all these terms will catch up with you. Time kills all deals though, and NOT getting the deal done imho is a big risk factor. So an imperfect contract is better than no contract..
