Sole proprietorships and partnerships have become uncompetitive dinosaurs due to the explosion of litigation, and the system is in the process of reconfiguring itself to provide liability protection at a similar level of taxation. Given the risk of being involved in legal action, I don't understand why anyone would want to organize using an unprotected structure; fill out the paperwork and get yourself covered.
